AVAS BID – TERMS & CONDITIONS

1. STRUCTURAL POSITIONING

Independent Buyer Representation Disclosure

AVAS BID, operated by AFRICALI LLC, is an independent vehicle sourcing and auction buyer representation service.

AVAS BID:

Is not a licensed motor vehicle dealer.
Does not own, warehouse, or sell vehicles.
Does not transfer vehicle titles.
Does not take possession of vehicles unless otherwise agreed in writing.
Does not operate an auction.

All vehicles are sold by third-party auction platforms or licensed sellers. AVAS BID acts solely as a sourcing consultant and authorized bidding representative for the client.

2. NO WARRANTY / NO GUARANTEE CLAUSE

No Vehicle Condition Guarantees

Client acknowledges and agrees:

Vehicles purchased through auctions are typically sold “AS-IS.”
AVAS BID does not inspect vehicles mechanically unless explicitly stated in writing.
AVAS BID does not guarantee mechanical condition, drivability, emissions compliance, title status, prior damage, or future performance.
Any information provided is sourced from third-party auction platforms and is not independently verified unless otherwise agreed.

Client assumes all risks associated with auction vehicle purchases.

3. LIMITATION OF LIABILITY (VERY IMPORTANT)

Limitation of Liability

To the maximum extent permitted by Wisconsin law:

AVAS BID’s total liability for any claim, dispute, or cause of action arising out of services provided shall not exceed the total service fee paid by the Client to AVAS BID.

Under no circumstances shall AVAS BID be liable for:

Loss of vehicle value
Mechanical failure
Auction misrepresentation
Transportation damage
Lost profits
Consequential damages
Incidental damages

This clause survives termination of services.

4. PAYMENT + NON-REFUNDABLE SERVICE CLAUSE

Service Fee Policy

The $300 service fee (or applicable fee) is compensation for sourcing, research, review, and representation services.
Service fees are non-refundable once services begin.
Payment is required before active bidding or representation.
Service fees are separate from vehicle purchase price and auction fees.

AVAS BID does not guarantee auction success.

Deposit Clarification (If Applicable)

Any deposit collected secures service engagement and is credited toward service fees unless otherwise stated in writing. Deposits are not held in escrow and do not guarantee auction results.

5. DISPUTE RESOLUTION + ARBITRATION (B)

Governing Law

These Terms shall be governed by the laws of the State of Wisconsin.

Binding Arbitration

Any dispute arising out of or relating to services provided by AVAS BID shall be resolved exclusively through binding arbitration in the State of Wisconsin.

The parties waive the right to trial by jury.

Each party shall bear its own legal fees unless otherwise determined by the arbitrator.

6. INDEMNIFICATION CLAUSE

Indemnification

Client agrees to indemnify, defend, and hold harmless AFRICALI LLC and AVAS BID from any claims, damages, losses, or expenses arising from:

Client’s bidding decisions
Auction purchases
Vehicle condition disputes
Misuse of purchased vehicles
Client-provided inaccurate information

7. NO FIDUCIARY RELATIONSHIP CLAUSE (C)

No Fiduciary Relationship

AVAS BID provides sourcing and representation services only. Nothing in these Terms creates a fiduciary, partnership, dealership, or joint venture relationship between the parties.

8. PROFESSIONAL RISK SHIELD ADDENDUM (C)

Professional Risk Shield Addendum

Client acknowledges:

Auction purchases involve inherent financial risk.
Market values fluctuate.
Mechanical conditions may not be fully disclosed.
Auction platforms operate independently of AVAS BID.

Client voluntarily assumes all financial risks associated with vehicle acquisition.

9. BUSINESS IDENTITY

AVAS BID is an independent vehicle sourcing and auction bidding assistance service operated by AFRICALI LLC.

AVAS BID is not a licensed motor vehicle dealer and does not sell vehicles directly to clients. We provide buyer representation and auction bidding assistance services only.

10. SERVICES PROVIDED

AVAS BID may provide:

Auction vehicle sourcing assistance
Review of public vehicle listings and condition reports
Buyer representation at auctions
Bidding on behalf of approved clients
Post-auction guidance regarding payment and transport coordination

AVAS BID does not guarantee vehicle condition, performance, title status, or mechanical integrity.

All vehicles are sold by the auction or seller “as-is.”

11. SERVICE FEE

AVAS BID charges a non-refundable flat service fee of $300 per vehicle.

This fee covers:

Research and sourcing assistance
Bidding representation
Communication and coordination support

This fee does not include:

Auction fees
Storage fees
Transportation costs
Taxes
Title or registration costs
Customs or export fees

12. PAYMENTS

Clients are responsible for:

All auction-required payments
All vehicle purchase payments
All applicable government taxes and registration costs

Failure to complete auction payments may result in penalties imposed by the auction house.

🔐 PAYMENT RISK HARDENING (Zelle / Wire)

Payment Disputes

Client agrees not to initiate chargebacks or payment reversals for services rendered. Any payment disputes must be addressed directly with AVAS BID through written notice.

Unauthorized chargebacks may result in service suspension and legal recovery actions.

13. SECURITY DEPOSITS

If required by an auction platform, clients may be required to provide a refundable security deposit.

Security deposits are subject to the auction platform’s rules — not AVAS BID.

14. NO GUARANTEES

AVAS BID does not guarantee:

Vehicle condition
Future resale value
Mechanical performance
Title status
Inspection outcomes

All auction purchases are inherently risky.

15. U.S. BUYERS

U.S. buyers are responsible for:

State registration
Insurance
Emissions compliance
State taxes and fees

AVAS BID does not provide DMV services.

16. INTERNATIONAL BUYERS

International buyers are responsible for:

Export compliance
Shipping arrangements
Customs clearance
Import duties and taxes
Destination country regulations

AVAS BID does not guarantee import eligibility.

17. LIMITATION OF LIABILITY (1)

AVAS BID shall not be liable for:

Mechanical failures
Auction misrepresentations
Delayed shipping
Title branding issues
Loss of profits

Our total liability shall not exceed the $300 service fee paid.

18. DISPUTE RESOLUTION

Any disputes shall be resolved in the state of business registration of AFRICALI LLC.

Clients agree to attempt resolution through written communication before legal action.

19. AGREEMENT

By submitting a form or using AVAS BID services, the client agrees to these Terms & Conditions.

GOVERNING LAW

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the use of AVAS BID services shall be resolved in the appropriate state or federal courts located in Wisconsin.

LIMITATION OF LIABILITY (2)

AVAS BID and AFRICALI LLC shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of our services. Our maximum liability shall not exceed the amount of the service fee paid by the client.

NO DEALER REPRESENTATION

AVAS BID is not a licensed motor vehicle dealer. We do not own, sell, or transfer vehicles. We act solely as a vehicle acquisition and auction representation service.

DISPUTE RESOLUTION

Any dispute arising from these Terms shall first be attempted to be resolved informally. If unresolved, the dispute shall be submitted to binding arbitration in the State of Wisconsin.

AVAS BID is an independent vehicle acquisition and auction representation service operated by AFRICALI LLC. We are not a licensed auto dealer and do not sell vehicles directly. All vehicles are sold by third-party auction platforms.
